Terms & Conditions

1. General

These Terms & Conditions govern all sales, supplies, services, and transactions undertaken by Sanstar Microsystems Private Limited, a manufacturer of Switch Mode Power Supplies (SMPS),Battery Chargers and DC-DC converter and related power solutions. By placing an order or engaging with us, the customer agrees to these terms unless otherwise agreed in writing.

2. Scope of Supply

  • Products supplied include SMPS units, power supplies, and related accessories as specified in the quotation or purchase orde
  • Specifications, ratings, and configurations are as per mutually agreed technical documentation.
  • Any deviation or customisation will be charged additionally and confirmed in writing.

3. Pricing & Taxes

  • Prices are quoted in Indian Rupees (INR) unless specified otherwise.
  • Prices are exclusive of GST, duties, insurance, and other statutory charges, unless stated.
  • Prices are exclusive of GST, freight, duties, insurance and other statutory charges for out of India, unless stated.
  • Applicable taxes will be charged as per prevailing government regulations.

4. Orders & Acceptance

  • Orders are considered confirmed only upon written acceptance or issuance of a proforma invoice by the company.
  • Purchase orders once accepted cannot be cancelled or modified without written approval.
  • Customised or made-to-order SMPS units are non-cancellable and non-returnable.

5. Payment Terms

  • Payment terms are as mentioned in the quotation or invoice.
  • Unless otherwise agreed, advance payment is required for new customers or customised products.
  • Delayed payments may attract interest at 18% per annum or the maximum permissible under law.

6. Delivery & Dispatch

  • Delivery timelines are indicative and begin from the date of order confirmation or receipt of advance payment, whichever is later.
  • The company is not liable for delays caused by force majeure events, logistics issues, or supplier delays.
  • Risk of loss passes to the buyer upon dispatch from the company’s premises.

7. Inspection & Acceptance

  • Customers must inspect goods immediately upon receipt.
  • Any shortages, transit damage, or discrepancies must be reported in writing within 24 hours of delivery.
  • Failure to notify within the stipulated time will be deemed acceptance of goods.

8. Warranty

  • SMPS products carry a standard warranty of 12 months from the date of dispatch, unless otherwise specified.
  • Warranty covers manufacturing defects only
  • Warranty is void in cases of:
    • Improper installation or usage
    • Overloading beyond rated capacity
    • Unauthorised modification or repair
    • Power surges, lightning, fire, or water damage
    • Burn units.

9. Limitation of Liability

  • The company’s liability is limited to repair, replacement of the defective product at its discretion.
  • The company shall not be liable for indirect, incidental, or consequential damages, including loss of profit or downtime.

10. Returns & Repairs

  • Returns will be accepted only with prior written authorization.
  • Warranty repairs must be sent to the company’s service center at the customer’s cost unless otherwise agree
  • Repaired or replaced goods will be returned via standard dispatch mode.

11. Intellectual Property

  • All drawings, designs, datasheets, and technical documents remain the intellectual property of the company.
  • Customers shall not reproduce, distribute, or share such materials without prior written consent.

12. Confidentiality

All commercial, technical, and pricing information shared shall be treated as confidential and shall not be disclosed to third parties.

13. Force Majeure

The company shall not be held responsible for failure or delay in performance due to events beyond its reasonable control, including natural disasters, government actions, labor strikes, or supply chain disruptions.

14. Governing Law & Jurisdiction

These Terms & Conditions shall be governed by the laws of India.
 All disputes shall be subject to the exclusive jurisdiction of the courts located at [Nagpur/ Maharashtra].

15. Amendments

The company reserves the right to modify these Terms & Conditions at any time without prior notice. Updated terms will be applicable to all future transactions.
